Terms of Service

Last updated: September 2026

1. Acceptance of Terms

By accessing or using Prysm Note ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Prysm Note is an AI-powered task management application that helps users organize, prioritize, and complete their work. The Service is provided under an open-core model, with the Community Edition available under AGPL-3.0 and Enterprise features available under a commercial license.

3. AI Features and Third-Party Models

Prysm Note offers AI assistance through two channels:

  • Hosted PrysmAI is routed through the OpenRouter gateway on our account, using a per-user key that is capped in USD and rotated when your account or plan changes. Every request is sent with Zero Data Retention (ZDR) routing, so OpenRouter and the model providers that serve your request do not retain your prompts or responses and do not use them for training. Each request is served by an efficient, effective model selected by region, so the exact model can vary. PrysmAI is not available from restricted jurisdictions (currently Russia and Belarus), where requests are refused. See OpenRouter's privacy policy for how OpenRouter processes data on its side.
  • Bring Your Own Key (BYOK): you may instead connect your own API keys with third-party providers (OpenAI, Gemini, DeepSeek, OpenRouter). When you do, those providers' terms and privacy policies apply, and your prompts go to the provider you choose using your own key.

Prysm Note does not train on your prompts and does not sell your data.

AI output may be inaccurate or inappropriate. You are responsible for verifying important results before relying on them, and you should not submit sensitive personal data to AI features.

Prysm Note is not liable for the behavior, availability, or data practices of third-party model providers.

4. User Accounts

You must be at least 16 years old to use the Service. If you are under 16, you may not create an account or use the Service.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.

5. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose.
  • Attempt to gain unauthorized access to any part of the Service.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Upload or transmit viruses, malware, or any malicious code.
  • Use the Service to store or process sensitive personal data beyond its intended purpose.

6. Intellectual Property

The Community Edition of Prysm Note is licensed under the GNU Affero General Public License v3.0 (AGPL-3.0). The Enterprise Edition and associated proprietary features are licensed separately under a commercial license. You retain ownership of your task data and content.

7. Trade Dress & Design

Prysm Note's user interface, including its layout, color palette, typography, iconography, and visual design language, is an original work developed independently. Any resemblance between Prysm Note and the visual appearance of other task management, productivity, or note-taking applications is coincidental and does not imply copying, endorsement, or affiliation. Common functional UI patterns such as three-pane layouts, collapsible sidebars, drag-and-drop task management, dark mode, tag filtering, and view switchers are generic industry conventions that predate any specific product and are not proprietary to any single vendor.

8. Limitation of Liability

Prysm Note is provided "as is" without warranty of any kind. In no event shall the creators or contributors be liable for any damages arising from the use of the Service.

9. Changes to Terms

We reserve the right to modify these terms at any time. Users will be notified of material changes via email or in-app notification. Continued use after changes constitutes acceptance of the new terms.
